Apogee Therapeutics, Inc. Announces Pricing of $300 Million Underwritten Public Offering

Apogee Therapeutics, Inc. (Nasdaq: APGE), a clinical-stage biotechnology company advancing optimized, novel biologics with potential for best-in-class profiles in the largest inflammatory and immunology (I&I) markets, today announced the pricing of its previously announced underwritten public offering of 6,951,221 shares of its common stock at a public offering price per share of $41.00 and, in lieu of common stock to certain investors, pre-funded warrants to purchase up to 365,853 shares of its common stock at a public offering price of $40.99999 per pre-funded warrant. The pre-funded warrants have an exercise price of $0.00001 per share and are exercisable immediately. The aggregate gross proceeds to Apogee from the offering are expected to be approximately $300 million before deducting underwriting discounts and commissions and other offering expenses payable by Apogee, excluding any exercise of the underwriters’ option to purchase additional shares. The offering is expected to close on October 10, 2025, subject to the satisfaction of customary closing conditions. In addition, Apogee has granted the underwriters an option for a period of 30 days to purchase up to an additional 1,097,561 shares of its common stock at the public offering price, less underwriting discounts and commissions.
